1. Acceptance of Terms

By accessing or using Pactra ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Pactra provides an API-first agreement execution platform that enables developers and organizations to create, send, sign, and verify agreements programmatically. The Service includes REST APIs, MCP server integration, embedded signing, cryptographic signature receipts, and AI-powered analysis.

3. Accounts & Workspaces

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials and API keys.
  • You must notify us immediately of any unauthorized use of your account.
  • Each workspace is a separate tenant with isolated data.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorized access to other workspaces or accounts.
  • Interfere with or disrupt the Service or its infrastructure.
  • Exceed rate limits or abuse the API.
  • Use the Service to send unsolicited or fraudulent agreements.
  • Upload malicious files or content.

5. Your Content

You retain ownership of all documents, agreements, and data you upload to the Service ("Your Content"). By using the Service, you grant Pactra a limited license to process, store, and transmit Your Content as necessary to provide the Service. We do not claim ownership of Your Content.

6. Electronic Signatures

Pactra facilitates electronic signatures in compliance with the ESIGN Act and UETA. By using the signing features, you acknowledge that electronic signatures created through the Service are intended to be legally binding. Each signature generates a cryptographic receipt for audit and verification purposes.

7. AI Features

The Service includes AI-powered features for agreement summarization and analysis. These features are provided for informational purposes only and do not constitute legal advice. AI outputs should be reviewed by qualified professionals before relying on them.

8. Pricing & Billing

  • Free tier includes 5 agreements per month with full API access.
  • Paid plans are billed monthly. Prices are listed on our pricing page.
  • We may change pricing with 30 days' notice.
  • Refunds are handled on a case-by-case basis.

9. API Usage

API access is subject to rate limits as documented. API keys are confidential and should not be shared or exposed in client-side code. You are responsible for all activity performed using your API keys.

10. Limitation of Liability

To the maximum extent permitted by law, Pactra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Termination

You may terminate your account at any time. We may suspend or terminate your access if you violate these terms. Upon termination, your data will be retained for a reasonable period to support audit requirements, after which it will be deleted.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the updated terms.
